Registration of an Alabama Limited Partnerships, according to the provisions of the Code of Alabama.

A limited partnership is a business structure with one or more general partners and one or more limited partners. The general partners operate the business and the limited partners are typically passive investors.

Limited partners in a limited partnership are protected from personal liability for the debts and liabilities of the limited partnership. The only amount they can lose is their investment. There is an exception, however, which would impose liability on a limited partner. If the limited partner is actively involved in the management of the limited partnership (in other words, acting as a general partner), the limited partner will expose his/her personal assets for the debts and liabilities of the limited partnership.

Limited partnerships have only one level of tax — the partners are taxed, not the limited partnership.

Individuals wishing to operate as Limited Partnerships in Alabama are required under the Code of Alabama to register their Limited partnerships by filing a Certificate of Limited Partnership with the Probate Judge’s office in the county where the LPs registered agent/office is located.

Within 30 days of the registration of your Limited Partnership, a report of Limited Partnership must be filed with the Alabama Corporations Division. We will do this as part of our limited partnership registration service.

Before you begin your Alabama online Limited Partnerships registration there are a few things that you are going to need to know and/or have access to.

Limited Partnerships (two or more partners) operating in Alabama or wishing to operate in Alabama are not required to be registered if the business is carried on under the partner’s names. If the business uses a business name other than the partner’s names, they are required under the Code of Alabama to register their business name before start using it. Registration is done by filing a Certificate of Limited Partnership application form with the Probate Judge’s office in the county where the LPs registered agent/office is located.

Registration places your business name in the public record maintained by the Corporations Division. This allows consumers and business people to find the owners or the principal behind a business name.

Registering an Alabama Limited Partnership involves three main steps:

Step 1 Name Approval

All business entities require approval of proposed name prior to company registration in Alabama. Alabama corporations division is responsible for the approval of company names.

• The words “college”, “institute”, or “university” cannot be used without the written consent of the Ministry of Education and training.
• You may not use the words “limited”, “corporation” or “incorporated”
• Words with restricted use under federal or provincial laws
• Words that imply the business is associated with the the Government of the United States, any state of the United States or any municipal government may not used without the written consent of the appropriate authority.

Step 2 Filing an Application for a Limited Partnerships Registration

Filing of an Application for a Limited Partnerships Registration is required mainly to provide proof that the name is in use by a particular business. Filing of the registration form does not give any right of ownership of the name.
