Indiana Limited Liability Partnership Registration
Registration of an Indiana Limited Liability Partnership, according to the provisions of the Indiana Code.
A limited liability partnership (LLPs) is much like a limited partnership. However the LLP allows all the partners to take an active role in the management of the business while offering members some liability protection from actions of the other partners. LLP are mast often used by groups of professionals such as doctors, accountants or architects.

The partners in limited liability partnerships aren't responsible for the debts, obligations, or liabilities of the partnership resulting from negligence, malpractice or wrongful acts, or misconduct by another partner, employee or agent of the partnership.
Professional organizations (such as accounting and law firms) generally prefer limited liability partnerships because they are specifically designed to limit malpractice claims against partners not involved in the malpractice. But a partner of a limited liability partnership is liable for other partnership debts and obligations as well as for their own negligence, malpractice or wrongful acts, or misconduct, and that of any person under their direct supervision and control.
Individuals wishing to operate as Limited Liability Partnerships in Indiana are required under the Indiana Code to register their Limited Liability Partnerships by filing an Articles of Registration of Limited Liability Partnership with the Indiana Corporations Division.

- At least one physical address in Indiana for your business registered address
- The full name and residential addresse of the partners

Limited Liability Partnerships (two or more partners) operating in Indiana or wishing to operate in Indiana are not required to be registered if the business is carried on under the partner’s name. Step 1 Name Approval
All business entities require approval of proposed name prior to company registration in Indiana. Indiana corporations division is responsible for the approval of company names.

• The words “college”, “institute”, or “university” cannot be used without
the written consent of the Ministry of Education and training.
• You may not use the words “limited”, “corporation” or “incorporated”
• Words with restricted use under federal or provincial laws
• Words that imply the business is associated with the the Government
of the United States, any state of the United States or any municipal
government may not used without the written consent of the appropriate
authority.
Step 2 Filing an Application for a Limited Liability Partnership Registration
Filing of an Application for a Limited Liability Partnerships Registration is required mainly to provide proof that the name is in use by a particular business. Filing of the registration form does not give any right of ownership of the name.
