Individuals or groups wishing to operate as limited liability companies in Nevada are required under the Nevada LLC Act, to file the appropriate forms with the Nevada Secretary of State, Commercial Recordings Division.

Forming a domestic Nevada LLC involves three main steps:

Step 1 Name Search

All business entities require a name search and reservation of proposed name prior to company registration in Nevada. Nevada Secretary Of State, Commercial Recordings Division. is responsible for the approval of company names.

The general rules for choosing a Nevada company name are:

* must not be identical or too similar to another business' name
* must not infringe registered trademarks or patents
* must not be offensive or vulgar in any way

A Nevada LLC name must contain the words “Limited Liability Company,” “Limited Company,” or the abbreviations “LLC,” “LC,” “L.L.C.” or “L.C.”

Company names that contain words like Bank, Finance Company, Insurance, School, University, Travel Agent, Media, etc. must first be approved by the Nevada Company Registration regulatory authority before they can be used.

Step 2 Filing Articles of Organization

Once you've reserved a company name, you can proceed to register your company and file articles of organization. Articles of organization are legal documents that establish your business, and must be approved by the Nevada Commercial Recordings Division before you do business under that business name.

If your articles of organization meets the current legislated requirements established by the Nevada Secretary of State, the Nevada Commercial Recordings Division, will process the request and issue you a Nevada certificate of registration.

INITIAL LIST OF MANAGERS OR MEMBERS: Pursuant to NRS 86.263, each limited-liability company organized under the laws of this state shall, on or before the last day of the first month after the filing of its articles of organization, and annually thereafter, file its list of officers, directors and resident agent. The initial list fee is $125.00. Forms will be mailed to you upon the filing of your limited-liability company and annually thereafter to the entity’s resident agent.
