In the USA individuals wishing to operate a business under a partnership, can choose to form three types of partnership: general partnership, limited partnership and limited liability partnership. In a general partnership the partners are responsible for all aspects of the business including the debts of the partnership. In a limited partnership there are two types of partners - general and limited. Each type of partner has different rights and responsibilities. Generally speaking, there is a limit on the liability of a limited partner, while the general partner's liabilities are not limited.

A limited partnership consists of one or more general partners (i.e., those who are generally liable for the business) and one or more limited partners (i.e., those who have limited liability). If the statutory requirements are not followed, a limited partnership will be treated as a general partnership; therefore, it is important that you consult with an attorney in creating a limited partnership.

FORMATION AND OPERATION OF LIMITED PARTNERSHIPS

a. Filing Requirement. Limited Partnerships (two or more partners) operating in the USA or wishing to operate in the USA are not required to be registered if the business is carried on under the general partner’s name. If the business uses a business name other than the general partner’s name, they are required under the State Partnership Legislation to register their business name before start using it. Registration is done by filing a Certificate of Limited Partnership with the Secretary of State, Corporations Division.

b. Filing Fees. LP filing fees vary from state to state.

c. Name Requirement. A limited partnership name must contain the words "Limited Partnership," the abbreviation "L.P." or the designation "LP," unless the limited partnership is filing an assumed name or a registration of name. If the words "Limited Partnership" are used, a limited partnership may also use the abbreviation "L.P." or the designation "LP" without filing an assumed name under section

Registering a Limited Partnership in the USA

The Declaration of Registration of Limited Partnership must contain the following information:

* Type of Business
* City, Town, Village where the business is located
* Trade/ Business Name under which the Declaration carries on or intends to carry on business
* Date on which the use of the business name commenced
* The name, resident address, occupation and identification of all partners. The resident address must include the city, town or village and zip code.
