In the USA individuals wishing to operate a business under a partnership, can choose to form three types of partnership: general partnership, limited partnership and limited liability partnership. In a general partnership the partners are responsible for all aspects of the business including the debts of the partnership. In a limited partnership there are two types of partners - general and limited. Each type of partner has different rights and responsibilities. Generally speaking, there is a limit on the liability of a limited partner, while the general partner's liabilities are not limited.
A General partnership is composed of two or more persons who agree to contribute money, labour, and/or skills to a business. Each partner shares the profits, losses, and management of the business and each partner is personally and equally liable for debts of the partnership. Formal terms of the partnership are usually contained in a written partnership agreement.
Like sole proprietorship, partnerships are another easiest type of business structure to establish. There are few legal requirements to establish a partnership, and they are much cheaper to create than corporations. In fact, a simple verbal agreement is enough to form a partnership. But if money and property are at stake, you should have a written agreement. You can simply operate your business as individuals in a partnership or if you wish to operate your business under a business name, which does not include your partners exact legal names, you must register your partnership with your Provincial Corporate Registries, before start operations under that business name.
Partnerships operating in the USA or wishing to operate in USA under a name other than the partners exact legal names name are required under State's Partnership Act to register their partnership business name with the State Corporations Division Office by filing a Declaration of Partnership.
In the USA the Declaration of Partnership places your trade/business name in the public record maintained by the State's Corporations Office Division. This allows consumers and business people to find the owners or the principal behind a business name.
When choosing your trade/business name, choose a distinctive name to stand out from your competitors. Make sure the name is not misleading or confusing in its description of the goods and services you will provide, also remember that certain words or expressions cannot be used:
Words or expressions, in any language, that, are obscene
or objectionable in nature.
Words that imply the business, is a different type of organization.
The words college, institute, or university cannot be used without the
written consent of the Ministry of Education and training.
You may not use the words limited, corporation or incorporated
Words with restricted use under federal or provincial laws
Words that imply the business is associated with the Government
of the United States of America, any State of the United States or any
municipal government may not used without the written consent of the appropriate
authority.
USA Limited Liability Partnerships must have the phrase Limited Liability Partnership or the acronym LLP as part of their name.
Before making a final decision on your business name and ordering forms or stationary, you may want to know if someone else is already using the name. A search through the Corporations Office records will determine whether another business is using the name you have selected and where that business is located.
Registering a General Partnership in the USA
The Declaration of General Partnership must contain the following information:
* Type of Business
* City, Town, Village where the business is located
* Trade/ Business Name under which the Declaration carries on or intends
to carry on business
* Date on which the use of the business name commenced
* The name, resident address, occupation and identification of all partners.
The resident address must include the city, town or village and zip
code.
The process of register your General Partnership in the USA, has three main elements:
* First is the Name Search. A State Business Name
Search Report should be obtained. This is a search through the Corporations
Division Office records that will determine whether another business is
using the name you have selected and where that business is located.
* Second Registration of your Declaration of partnership is completed
with the Corporations Division Office.
* The third element is the fee to register your Declaration of partnership
and expedition of your Business License.
